Acceptance of Terms

By accessing or using the Nectis platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the platform. These terms apply to all users, including administrators, team members, and external portal users.

Service Description

Nectis is a financial consolidation platform that provides data collection, intelligent account mapping, intercompany elimination, IFRS-compliant consolidation computation, and financial reporting services. Access to the platform is provided on an invitation-only basis.

User Obligations

  • Provide accurate and complete information during onboarding
  • Maintain the confidentiality of account credentials and access tokens
  • Use the platform only for lawful financial consolidation and reporting purposes
  • Ensure uploaded data does not infringe third-party rights
  • Comply with applicable accounting standards and regulatory requirements

Intellectual Property

The Nectis platform, including its consolidation engine, algorithms, user interface, and documentation, is the proprietary intellectual property of Nectis. Users retain full ownership of their uploaded financial data. Nectis does not claim any rights to user data beyond what is necessary to provide the service.

Limitation of Liability

Nectis provides consolidation tools and computations based on implemented IFRS and IAS standards. The platform does not constitute financial, legal, or tax advice. Users are responsible for reviewing, validating, and approving all consolidation outputs before reliance or distribution. Nectis shall not be liable for business decisions made based on platform outputs.

Service Availability

The Nectis platform is designed for high availability and is operated on enterprise-grade infrastructure with United States data residency. We do not guarantee uninterrupted access and may perform scheduled maintenance with advance notice. We will use commercially reasonable efforts to maintain platform availability and will notify users of planned downtime where practicable.

Governing Law

These Terms of Service and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. This choice of law applies regardless of the jurisdiction in which you are located.

Dispute Resolution

Any dispute arising from or relating to these terms shall first be submitted to good-faith negotiation between the parties for a period of not less than thirty (30) days. If the dispute remains unresolved, it shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the English language. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Indemnification

You agree to indemnify and hold harmless Nectis and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the platform, your violation of these terms, or your violation of any third-party rights.

Warranty Disclaimer

The platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nectis does not warrant that the platform will be uninterrupted, error-free, or secure.

Modifications

We reserve the right to modify these terms at any time. Material changes will be communicated through the platform or via email with at least 30 days notice. Continued use of the platform after the effective date of modifications constitutes acceptance.
